Since 1 October 2009, the Memorandum of Association is a short, fixed statement confirming that the initial subscribers agree to form the company and become its first members. It captures their names and signatures at the point of incorporation and sits on the public record at Companies House.

Unlike the Articles of Association, the Memorandum cannot be amended after incorporation.   • What information is included in the Memorandum of Association?
    The company name, date of incorporation, company type, and the full names of the initial subscribers who agree to become members. It confirms their intention to form the company.
  • Can the Memorandum be changed after incorporation?
    No. The Memorandum is a historical snapshot at the date of incorporation and cannot be amended. Future changes are made via the Articles or other filings.
  • Do I need bespoke Articles if the Memorandum is fixed?
    Often, yes. Bespoke Articles tailor decision-making, share rights and transfers, and investor protections. We’ll advise whether model Articles are sufficient or if amendments are recommended.
